Welcome to Jupiter Venus Tech. These Terms & Conditions ("Terms") govern your access to and use of the services, products, and websites provided by Jupiter Venus Tech ("Company", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
Services: any consulting, staffing, software development, cloud, outsourcing, training, or other technical services provided by Jupiter Venus Tech.
User/Client: any person or entity that uses or purchases the Services.
We provide IT solutions including but not limited to: IT consulting & staffing, software product development, outsourcing & project delivery, cloud & web solutions, and training & mentorship. Specific terms, deliverables, timelines, and fees are defined in separate statements of work (SOW) or contracts.
Fees for Services are set out in the applicable contract or SOW. Unless otherwise agreed, payments are due net 30 days from invoice. Late payments may incur interest and/or suspension of services. All fees are exclusive of taxes; you are responsible for any applicable taxes.
Unless otherwise agreed in writing, Jupiter Venus Tech retains ownership of pre-existing intellectual property, tools, frameworks, and methods. Upon full payment, clients receive a license to use deliverables as specified in the contract. Any third-party components used will be governed by their respective licenses.
Both parties agree to keep confidential information private and not disclose it except as required by law. Confidential information does not include information that is public, already known, or independently developed without use of the other's confidential information.
We strive to provide high-quality services in a professional manner. Except as expressly set forth in a written contract, services are provided "AS IS" and we disclaim all other warranties, whether express or implied, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, Jupiter Venus Tech's liability for any claim arising out of or related to these Terms or the Services is limited to the total fees paid by the client for the specific Services giving rise to the claim during the 12 months prior to the event. We are not liable for indirect, incidental, consequential, punitive, or special damages.
We comply with applicable data privacy and security standards. Personal data processed as part of service delivery will be handled according to our Privacy Policy (available on our website). Clients must ensure they have lawful grounds and necessary consents for any personal data they provide to us.
Jupiter Venus Tech is an E-Verified employer and follows applicable employment laws and ethical employment practices. Where we provide staffing services, we will comply with client site requirements and applicable labor regulations.
We may use third-party services, tools, or platforms (e.g., cloud providers, enterprise tools). Use of these third-party services is subject to their terms and the client may be required to accept those terms directly.
Either party may terminate the contract for material breach if the breach is not cured within the agreed notice period. On termination, client will pay for all services performed and costs incurred up to the termination date. Provisions that by their nature should survive (e.g., confidentiality, IP, limitation of liability) will survive termination.
These Terms will be governed by the laws of the State of North Carolina, USA, without regard to conflict of law rules. Parties will first attempt to resolve disputes in good faith; unresolved disputes may be submitted to the courts located in Durham County, North Carolina.
We may modify these Terms from time to time. Material changes will be posted on our website or communicated to clients. Continued use of our Services after changes constitutes acceptance of the updated Terms.
